NGN ICS for Startups Program — Terms and Conditions

The NGN ICS for Startups Program (“Program”) is offered by NGN International Carrier Services Inc. (“NGN ICS,” “we,” “us,” or “our”) to eligible startup companies (“Participant” or “you”) as a promotional initiative to support early-stage innovation in communications, cloud telephony, and global connectivity.

Participation in this Program constitutes acceptance of these Terms and Conditions (“Terms”). Please read them carefully before enrolling.

The Program provides eligible startups with NGN ICS service credits (“Credits”) redeemable toward the use of NGN ICS products and services.

Credits are promotional in nature, non-transferable, and subject to the restrictions described herein.

NGN ICS reserves the right to modify, suspend, or terminate the Program at any time, with or without prior notice, in its sole discretion.

To qualify for participation, you must:

1. Be a legally registered business entity operating for less than five (5) years.
2. Employ fewer than 100 employees at the time of application.
3. Not be an existing NGN ICS customer or reseller.
4. Maintain a verifiable business email domain (no generic email providers).
5. Operate in compliance with all applicable telecommunications and data-protection laws.
6. For higher tiers (“Scale” and “Growth”), provide verification through an approved accelerator, incubator, or venture partner (e.g., Y Combinator, Techstars, Seedcamp, Plug and Play).

NGN ICS reserves the right to request additional documentation to verify eligibility or deny participation without explanation.

1. Credits are granted based on the Program Tier for which the Participant qualifies:
   • Launch Plan: USD $1 000 (valid 12 months)
   • Scale Plan: USD $5 000 plus allocated resources (valid 12 months)
   • Growth Plan: Up to USD $100 000 (valid 12 months)
2. Credits commence on the date of activation (“Effective Date”) and expire automatically after 12 months.
3. Credits have no cash value, are non-refundable, non-transferable, and cannot be sold or exchanged.
4. Credits may only be used for services directly billed by NGN ICS, including but not limited to:
   • International Voice Termination and Origination
   • SIP Trunking
   • Cloud Numbers & DIDs
   • IPX and IMS-Based Services
   • A2P and P2P Messaging
5. Credits cannot be applied toward taxes, third-party carrier surcharges, or regulatory fees.

Participants may not use the Program or Credits to engage in, support, or facilitate:

1. Fraudulent, abusive, or unlawful telecommunications activity.
2. False Answer Supervision (FAS), call simulation, or artificial traffic generation.
3. Voice spamming, robocalling, or SMS spam.
4. Traffic to unallocated, premium, or revenue-share destinations.
5. Resale of services or credits to third parties.

NGN ICS reserves the right to suspend or revoke participation and cancel remaining credits upon detecting misuse, abuse, or policy violations.

Participants must comply with all applicable laws, regulations, and international telecom standards, including but not limited to:

• ITU, FCC, and regional telecom frameworks
• GDPR (EU), CCPA (California), and comparable data-privacy laws

By joining the Program, you authorize NGN ICS to process your submitted business information for verification, credit issuance, account provisioning, and marketing analytics related to this Program.

1. Credits do not guarantee uninterrupted or prioritized service.
2. Network performance is subject to standard operational availability and traffic policies.
3. NGN ICS does not guarantee compatibility with third-party software or hardware.
4. Technical support is provided according to tier level and fair-use limits.
5. NGN ICS retains the right to throttle or restrict service usage if activity exceeds reasonable startup thresholds.

At the end of the credit period, Participants may convert to a paid account under standard NGN ICS commercial terms.

Unused credits expire automatically and cannot be reinstated or applied retroactively.

All communications, pricing details, and Program information shared between NGN ICS and the Participant are confidential.

Participants may not disclose Program details or use NGN ICS names, logos, or trademarks for marketing without written consent.

The Program is provided “as is” and “as available.”

To the maximum extent permitted by law:

• NGN ICS disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
• NGN ICS shall not be liable for indirect, incidental, special, or consequential damages arising from participation in the Program or use of Credits.
• NGN ICS’s total liability shall not exceed the face value of Credits granted to the Participant.

The Participant agrees to indemnify, defend, and hold harmless NGN ICS, its affiliates, officers, and employees from and against any claim, loss, or liability arising out of misuse of Credits, violation of these Terms, or breach of law.

NGN ICS may terminate or suspend Program participation immediately if:

• The Participant violates these Terms.
• Fraud, abuse, or misrepresentation is detected.
• Continued participation poses risk to NGN ICS’s network or reputation.

Upon termination, all remaining Credits are forfeited.

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict-of-law principles.

Any disputes arising hereunder shall be exclusively resolved in the competent courts of New York County, New York.

NGN ICS may revise these Terms at any time. Updated versions will be posted on https://www.ngnics.com/startups.

Continued participation after publication of amendments constitutes acceptance of the revised Terms.
